Terms and conditions
In these Terms and Conditions the words "we", "us", "our" etc refer to Scott Bradbury Ltd and the words "you", "your" etc refer to the organisation or person that has purchased products from Scott Bradbury Ltd and also to any employees of such organisation or person.
The following clauses apply to our DVD programmes
The copyright in the User's Guide and the DVD in each of our titles belongs to Scott Bradbury Limited.
If you purchase a DVD from us, you do so on the following terms:
You may use the DVD to train your own employees. If you are a consultant you may use the DVD to train your clients and employees of your clients provided that such training is carried out only by you or your employees.
You may photocopy all or part of our User's Guides without limit for use in your own organisation.
If you are an independent training consultant you may also photocopy all or part of our User's Guides for training your clients' employees provided that you or another employee of your organisation delivers the training.
Any reproduction of our User's Guides or part thereof, in whatever format, must carry the notice ©2006 Scott Bradbury Ltd.
You may edit and reproduce the PowerPointŪ presentation included with our DVD programmes without limit for use in your own organisation, or that of your client if you are an independent training consultant. Any reproduction of our PowerPoint® presentations must acknowledge Scott Bradbury Ltd. as the source.
You may host and deliver our DVD programmes on your internal intranet provided that you first purchase an additional licence from Scott Bradbury to do so and that you observe the terms of that licence.
You may sell or otherwise transfer the DVD to another person or organisation provided that you advise Scott Bradbury Ltd. of the transfer and provided that you require the transferee to agree to these conditions. You will be liable for any loss sustained by Scott Bradbury Ltd. as a result of a breach of these conditions by the transferee if you have not complied with the terms of this clause.
You may not ever copy the DVD, not even as a backup. Scott Bradbury provides a free five year guarantee against damage sustained by any DVD title you have purchased from Scott Bradbury which makes it unplayable. Scott Bradbury will replace free of charge, any Scott Bradbury title which has become unplayable within five years of purchase, on receipt of the damaged and unplayable DVD.
Scott Bradbury DVD titles may not be used in public events or lent to other organisations.
You must not directly or indirectly require or accept payment (in money or money's worth) from any person or organisation for access to, or use of, any DVD title published by Scott Bradbury Ltd. This clause shall not prevent you from charging for training consultancy services to which the use of our DVD title is incidental.
The following clauses apply to previews provided by Scott Bradbury Ltd.
Our DVD previews are usually free of charge but we reserve the right to charge or to refuse to send out previews at our absolute discretion.
Scott Bradbury previews are sent to you for seven working days and must be returned to Scott Bradbury Limited by post at your own expense. Second class postage is acceptable.
If you find you need more than seven days to preview the DVD, please contact us to request an extension period. Scott Bradbury Limited is not obliged to extend the preview period but will do everything reasonable to ensure you have sufficient time to view the material.
Scott Bradbury previews must not be used for training purposes.
The following clauses apply to The Accuracy Programme
The copyright and all intellectual property in The Accuracy Programme shall remain with the authors and/or Scott Bradbury Ltd.
You may not copy any of the material or breach any intellectual property rights in any way.
You may not produce derivative versions of The Accuracy Programme and shall indemnify and hold harmless Scott Bradbury for any and all losses which it may incur as a result of a breach of this provision.
You may not solicit or employ directly or indirectly for the purposes of delivering The Accuracy Programme (or any similar training course) any trainer provided by Scott Bradbury Ltd.
Following an initial course delivery by Scott Bradbury Ltd. you may run (internally and solely for your own employees), subsequent courses of The Accuracy Programme by first purchasing further copies of the Programme's Participant Manuals.
One Participant Manual must be purchased for each course delegate.
The Participant Manuals and the Instructor Guides may not be copied in any way.
Scott Bradbury Ltd. will advertise the current price of the Participant Manuals and provide a detailed quotation at your request.
Scott Bradbury Ltd. shall give reasonable advice and support by telephone to help you run The Accuracy Programme internally following the delivery of the initial course by Scott Bradbury Ltd.
When booking a course delivery of The Accuracy Programme you agree to pay all reasonable travel, accommodation and subsistence expenses for the Scott Bradbury trainer.
The following clauses apply generally to all business with Scott Bradbury Limited
Purchase orders
No order that has been accepted by Scott Bradbury Limited may be cancelled except with the agreement in writing of Scott Bradbury Limited.
You must ensure that all Purchase Orders have the relevant Purchase Order numbers and any other purchase authorisation details required by your organisation, so that our invoices can be properly presented.
Prices, invoices and payment
Prices are quoted exclusive of any applicable Value Added Tax.
Prices are quoted exclusive of any post and packing which may be charged additionally.
Prices are published on our web site and marketing literature and detailed quotations are provided on request.
Our payment terms are 30 days from the date of the Scott Bradbury invoice.
Scott Bradbury reserves the right to charge 4% per annum above Barclays Bank plc base rate on overdue invoices. For the purposes of calculating interest, a part of a month will be treated as a full month.
Invoices are despatched at the time the order is fulfilled.
Materials supplied shall remain the sole and absolute property of Scott Bradbury Ltd. as the legal and equitable owner until such time as your organisation has paid the relevant invoice in full.
Copyright
The copyright and any other intellectual property rights, rights in the performances and other like rights subsisting in or in relation to the materials supplied shall at all times remain vested in Scott Bradbury Ltd. and no such rights shall pass to your organisation.
General
Scott Bradbury shall not be liable for any indirect or consequential losses howsoever caused whether directly or indirectly, consequential or otherwise.
The validity of these conditions shall be governed in all respects by English law and the parties hereby submit to the exclusive jurisdiction of the English courts.
All order placed with Scott Bradbury Ltd. are accepted on these conditions, unless specifically agree to in writing by a director of the company.
